Commercial Terms And Conditions Of Sale
Introduction
These Terms and Conditions (Terms) govern your use of the Products and Services of Roller Shutters R Us Pty Ltd (ACN 612 643 482) (Company). By purchasing or using any of our Products or Services, you agree to be bound by these Terms.
Definitions
- “Company” refers to Roller Shutters R Us Pty Ltd (ACN 612 643 482).
- “You” or “Customer” refers to the person or entity purchasing products or services from the Company.
- “Products” refers to roller shutters and any related goods offered by the Company.
- “Services” refers to installation, maintenance, and repair services provided by the Company.
- “Terms” refers collectively to all the terms, conditions, and policies outlined in this document
Payment
- To proceed with this quotation, a minimum 20% deposit must be paid, unless otherwise agreed in writing.
- All Products supplied by the Company remain the Company’s property until payment in full of the invoice has been received. The Company reserves the right to reclaim the Products if payment in full is not made.
- Payment in full of the invoice is required prior to final installation of any Products.
- The Company reserves the right to suspend or cancel delivery or services if payment is not received.
- Late payments may incur additional charges and interest.
- The Company reserves the right to change prices without prior notice. Any price changes will not affect existing orders where a deposit has been paid.
Delivery and Installation
- The Customer must provide safe and clear access to the installation site.
- Any delays or additional costs incurred due to unsafe or inaccessible installation sites will be charged to the Customer.
- The Customer is responsible for obtaining any necessary permits or approvals prior to installation.
Warranty
- Warranty on all installations is for One (1) year from the date of final installation.
- Warranty on all motors is for One (1) year from the date of final installation and is subject to the manufacturer’s terms and conditions.
- Warranty on security doors is for One (1) year from the date of final installation and is subject to the manufacturer’s terms and conditions.
- Warranty on Roller Shutter Profile is 10 (ten) years from the date of final installation and is subject to the manufacturer’s terms and conditions.
Maintenance
- The Customer is responsible for the routine maintenance of the Products to ensure their longevity and proper functioning.
- The Company offers maintenance services at an additional cost.
Liability
- Where an individual enters into this agreement on behalf of a corporate entity, that individual is understood to have express consent of the corporate entity to enter into this agreement as its agent.
- To the extent permitted by law, the Company’s liability for any claim arising out of or in connection with these Terms is limited to the repair or replacement of the Products or the re-performance of the Services.
- The Company’s total liability shall not exceed the amount paid by the Customer for the Products or Services in question.
Entire understanding
- These Terms contain the entire understanding between the parties and supersedes all prior communications between the parties.
- Each party acknowledges that, except as expressly stated in these Terms, that party has not relied on any representation, warranty or undertaking of any kind made by or on behalf of the other party in relation to these Terms.
Severability
Any provision of these Terms, which is invalid in any jurisdiction must, in relation to that jurisdiction:
- be read down to the minimum extent necessary to achieve its validity, if applicable; and
- be severed from these Terms in any other case, without invalidating or affecting the remaining provisions of these Terms or the validity of that provision in any other jurisdiction.
Governing Law and Jurisdiction
- These Terms are governed by and must be construed in accordance with the laws in force in Victoria.
- The parties submit to the exclusive jurisdiction of the courts of that State and the Commonwealth of Australia in respect of all matters arising out of or relating to these Terms.
